Private Space (Pvt.Space) Terms of Service

Welcome to Private Space! These Terms of Service ("Terms") govern your access to and use of our platform, including all features, functionalities, and services provided through the Pvt.Space website and mobile application (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility to use Private Space: You must be at least 18 years old. Using our Service, you represent and warrant that you meet these requirements.
2. Account Registration: You must create an account to access certain features of the Service. You must provide accurate and complete information and keep your account credentials secure. You are responsible for all activity under your account.
3. User Conduct You agree not to:
1. Use the Service for any illegal or unauthorised purpose.
2. Post or share content that is abusive, defamatory, obscene, or infringes intellectual property rights.
3. Interfere with the operation of the Service or any user’s enjoyment of it.
4. Content Ownership and Licenses: You retain ownership of content you create and share on Pvt.Space. By uploading content, you grant Pvt.Space a worldwide, non-exclusive, royalty-free license to host, display, and distribute it as necessary to operate the Service.
5. Payments and Fees: Certain features may require payment. All fees are clearly disclosed and must be paid in accordance with our pricing terms. Pvt.Space may change its fees with prior notice.
6. Privacy: Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
7. Termination: We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we believe is harmful to other users or the platform.
8. Modifications to the Service: We may update, change, or discontinue parts of the Service at any time, without liability. We will make reasonable efforts to inform users of significant changes.
9. Dispute Resolution: In the event of any dispute, claim, or controversy arising out of or relating to these Terms, your use of Private Space, or the services provided, the parties agree to resolve the matter through the following process:
a. Informal Resolution: Before initiating any formal proceedings, you agree to contact us at support@pvt.space to attempt to resolve the dispute informally. We will make a good-faith effort to resolve the matter within thirty (30) days of receiving your communication.
b. Mediation and Arbitration: If the dispute cannot be resolved informally, the parties agree to first attempt to resolve it through mediation conducted by a mutually agreed-upon mediator in New Zealand. If mediation is unsuccessful, the dispute shall be referred to and resolved by arbitration under the Arbitration Act 1996 (NZ). The arbitration will be conducted in English in Auckland, New Zealand, unless otherwise agreed in writing. The arbitrator's decision will be final and binding and may be enforced in any competent court.
c. Exceptions: Nothing in this section prevents either party from seeking urgent injunctive or equitable relief through the courts of New Zealand to protect intellectual property or confidential information.
d. Class Action Waiver: You agree to resolve disputes with Pvt.Space on an individual basis only, and not as part of a class, consolidated, or representative action. Class arbitrations, class actions, and consolidation with other arbitrations are not permitted.
e. Governing Law: These Terms are governed by and interpreted in accordance with the laws of New Zealand, without regard to its conflict of law principles.
